1. Agreement to Terms

These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "the Client"), and Oude Outdoor ("we," "us," or "our"), concerning your access to and use of the https://oudeoutdoor.com website as well as any related B2B manufacturing, OEM/ODM, or custom engineering services we provide.

2. Products and Custom Orders

As a source manufacturer specializing in premium aluminum shading systems (bioclimatic pergolas, carports, patio covers, etc.), many of our products are made-to-order.

  • CAD Approvals: For customized products, production will only commence after you have thoroughly reviewed and signed off on the final engineering CAD drawings.
  • Variations: Due to the nature of manufacturing and varying screen displays, slight variations in powder-coating color or structural dimensions (within standard industrial tolerance) may occur and do not constitute a defect.

3. Pricing, Quotes, and Payment Terms

All prices quoted are strictly B2B factory-direct prices. Unless explicitly stated otherwise in a formal Proforma Invoice (PI), the following terms apply:

  • Validity: Formal quotes are generally valid for 30 days due to fluctuating raw aluminum material costs.
  • Payment Schedule: Standard custom orders require a non-refundable production deposit (e.g., 30% or 50% as agreed upon via PI) before manufacturing begins, with the remaining balance due prior to factory dispatch/loading.
  • Currency: All transactions are conducted in USD unless otherwise negotiated.

4. Shipping, Freight, and Customs

We facilitate global delivery primarily via sea freight. It is crucial to understand the transfer of risk and responsibilities:

  • Incoterms: Shipping terms (e.g., EXW, FOB, CIF, DDP) will be clearly defined in your contract. Under standard FOB or CIF terms, the risk of loss transfers to the buyer once the goods are loaded onto the shipping vessel.
  • Customs & Duties: You are entirely responsible for all import duties, taxes, and customs clearance procedures in your destination country unless a DDP (Delivered Duty Paid) agreement is explicitly signed.

5. Returns and Cancellations

Because our shading systems are highly customized architectural structures manufactured to your specific dimensions and requirements, all custom orders are final and non-refundable once production has commenced. Order cancellations post-deposit are subject to forfeiture of the deposit to cover engineering and material costs.

6. Warranty Policy

We stand firmly behind the quality of our craftsmanship. Oude Outdoor provides a 10-Year Structural Warranty on our primary aluminum frames, and a specific warranty period for electronic components (e.g., motors, LED lighting) as detailed in your specific product manual.

  • This warranty covers manufacturing defects and structural failures under normal, intended use.
  • It does not cover damages caused by extreme acts of nature (e.g., hurricanes, earthquakes), improper installation not in accordance with our manuals, unauthorized modifications, or general wear and tear.

7. Intellectual Property

All content on this website, including but not limited to product designs, text, graphics, logos, images, and engineering drawings (CADs) provided to you, are the exclusive property of Oude Outdoor and are protected by international copyright and intellectual property laws. You may not reproduce, distribute, or reverse-engineer our designs without explicit written consent.

8. Limitation of Liability

In no event shall Oude Outdoor, our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, or punitive damages arising from your use of the site or the installation/use of our physical products, even if we have been advised of the possibility of such damages.

9. Governing Law

These Terms & Conditions and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the People's Republic of China, specifically under the jurisdiction of the courts in Guangdong Province.
